1. Purpose of Agreement

The Facility hereby contracts SENIOR SUPPORT SERVICES as Marketing Contractor for the purpose of promoting the Facility, providing general marketing and informational services, facilitating introductions, and coordinating non-clinical communications related to prospective residents, solely for advertising and informational purposes, without making admission, medical, or clinical determinations, on a non-exclusive basis.

The parties expressly acknowledge that Marketing Contractor does not refer, place, steer, recommend, or induce the admission of any resident and does not receive compensation based on referrals, admissions, or placements.

SENIOR SUPPORT SERVICES may represent multiple assisted living, independent living, and long-term care facilities within the State of Florida.

2. Facility Responsibilities

  1. Maintain full compliance with all applicable Federal, State, and Local laws regulating assisted living and independent living operations.
  2. Allow reasonable access to the property for tours, evaluations, assessments, and marketing purposes.
  3. Notify the SENIOR SUPPORT SERVICES of any rate changes or admission requirements within 48 hours.
  4. Provide accurate information regarding Facility services, available accommodations, pricing, and licensing status.

4. Fees & Payment Terms

The Facility agrees to pay SENIOR SUPPORT SERVICES a one time flat marketing / processing fee of $ , equivalent to one-month's gross rent and care charges to be paid in two equal consecutive monthly installments.

Such fee is earned solely for marketing, advertising, and informational services rendered and is not contingent upon, nor related to, the referral, admission, placement, or residency of any individual.

The fee shall remain the same regardless of the number of inquiries, tours, or admissions.

Payment is due on the 1st day of each month for services rendered during that month.

No portion of the fee is based on the value, length of stay, or rent paid by any resident.

5. Conditions & Limitations

  1. The SENIOR SUPPORT SERVICES has no authority to determine medical eligibility or acceptance; admission decisions remain solely with the Facility.
  2. The Facility shall not charge or attempt to recover from the resident any portion of the marketing fees.
  3. The Facility must notify the SENIOR SUPPORT SERVICES within 2 business days of any licensing changes, suspensions, or restrictions.

6. Term & Termination

Either party may terminate this Agreement at any time with 30 days written notice sent via certified mail.

7. Binding Effect

This Agreement shall be binding upon the parties, their heirs, successors, and any new ownership of the Facility. In the event of sale or transfer, the Facility must disclose this Agreement to the new owner.

8. Compliance with Florida Patient Brokering Laws

The parties acknowledge that this Agreement is intended to comply with Florida Statutes ยง 817.505. No compensation under this Agreement is intended to induce or reward referrals, admissions, or patronage to the Facility.

Any provision found to violate applicable law shall be deemed null and void without affecting the remainder of the Agreement.
